• Late payments may result in suspension of services or additional fees as specified in the contract

• You are responsible for any bank transfer fees or transaction costs

Ownership of work products and deliverables created under a service agreement is governed by the terms of that specific agreement. Generally:

• Upon full payment, clients typically receive ownership of final deliverables as specified in the contract
• We may retain rights to use work for portfolio and marketing purposes unless otherwise agreed
• Pre-existing intellectual property provided by clients remains their property
• Third-party materials and licenses are subject to their respective terms

8.3 License to Use Website

We grant you a limited, non-exclusive, non-transferable license to access and use our website for personal or business purposes in accordance with these Terms. This license does not include the right to reproduce, distribute, or create derivative works.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or for fraud.

12. Indemnification

You agree to indemnify, defend, and hold harmless Youth Geekers, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your violation of any rights of another party
• Content or materials you provide to us
• Your breach of any service agreement or contract

13. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including but not limited to:

• At our sole discretion for any reason

Termination of individual service agreements is governed by the terms of those specific agreements. Upon termination, your right to use our services will cease immediately, and we may delete your account and data in accordance with our Privacy Policy.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Tunisia, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Tunisia, specifically the courts of Monastir, Tunisia.

14.3 Good Faith Negotiation

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good faith negotiation. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies.

15. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms or any service agreement due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, or failures of third-party service providers.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with any individual service agreements or contracts, constitute the entire agreement between you and Youth Geekers regarding the use of our services and supersede all prior agreements and understandings.

No modification of these Terms shall be effective unless in writing and signed by both parties, except that we may modify these Terms at any time by posting updated Terms on our website.
